Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Miji and mijios.ai(collectively, the “Service”) operated by Canopy Mind, Inc. (“we,” “us,” or “our”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

Miji is an AI operations platform developed by Canopy Mind, Inc.. The Service is currently in early access and made available to a limited group of design partners. Features, availability, and pricing are subject to change.

3. Design Partner Access

Access to Miji during the current design partner phase is by invitation only. Design partner access is non-transferable and subject to any additional terms agreed upon between you and Canopy Mind, Inc.. We reserve the right to revoke access at any time with reasonable notice.

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and trademarks — are owned by Canopy Mind, Inc. or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as permitted herein.

6. Your Content

You retain ownership of any data or content you submit to the Service (“Your Content”). By submitting Your Content, you grant Canopy Mind, Inc. a limited, non-exclusive license to use Your Content solely to operate and improve the Service. You represent that you have all rights necessary to grant this license.

7. Privacy and SMS Communications

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. If you opt in to receive SMS communications, your use of that service is subject to the SMS terms described in our Privacy Policy and any additional disclosures presented at the time of opt-in.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANOPY MIND, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Canopy Mind, Inc.and its affiliates from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or applicable law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may revise these Terms from time to time. We will provide notice of material changes by posting updated Terms with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
